Cancellation

7. PROHIBITED ACTIVITIES

If you connect your Swayy account to a third-party account (e.g., Google, Facebook), you authorize us to access and use information from that account according to that provider’s terms and your privacy settings.
You are responsible for maintaining the security of your Third-Party Accounts and for any data shared via those connections.
11. THIRD-PARTY WEBSITES AND CONTENT
The Services may link to third-party websites or display content from third parties. We do not control or endorse these websites or content and are not responsible for:

27. ADDITIONAL DEFINITIONS
For purposes of these Terms:

“Client” or “Customer” means the business or organization using Swayy to solicit reviews from its own customers.

“End Customer” means your customer, whose information you provide to Swayy so we can send review requests on your behalf.

“CRM” means any third-party customer relationship management, POS, or scheduling system integrated with the Services.

“Applicable Laws” includes all laws, regulations, and rules related to data protection, privacy, and electronic communications (e.g., GDPR, CCPA, CAN-SPAM, TCPA).
28. SCOPE OF SERVICES (SWAYY PLATFORM)
Swayy’s core functionality includes:

Sending review request communications (e.g., SMS and email) to End Customers
-
Generating and managing review links for platforms such as Google and others
-
Providing dashboards, analytics, and reporting on review performance
-
Offering widgets and other marketing tools to display reviews on websites or social media
-
Integrating with CRMs, booking systems, and other third-party tools to automate triggers (e.g., post-appointment, post-purchase)
We act as a service provider transmitting messages and tools on your behalf. We do not control or edit the reviews your End Customers choose to leave on third-party sites.
29. CLIENT RESPONSIBILITIES
You agree that you are solely responsible for:
1. Consent & Permissions

Only providing contact information for End Customers who have given valid consent to receive communications from you (via SMS, email, etc.)

Complying with Applicable Laws (e.g., TCPA, CAN-SPAM, GDPR, CCPA, CASL) regarding consent, opt-outs, and data usage
2. Accuracy of Data

Ensuring all contact details and customer records you provide are accurate, lawful, and up to date
3. Legal Compliance
-
Including any required legal notices, opt-out language, or disclaimers in your messages (if you customize them)
-
Consulting with your own legal counsel to confirm compliance in your jurisdiction
4. Managing Integrations

Maintaining active connections and credentials for any third-party integrations (e.g., CRM, Google accounts)
30. MESSAGING CONTENT & AUTOMATION
By using Swayy, you authorize us to:

Send SMS, email, and other electronic review requests to End Customers on your behalf

Use default templates and cadences (message timing/frequency) unless and until you customize them
You may:

Edit and customize message content
-
Adjust or disable reminders and follow-ups
-
Choose channels (SMS, email, or both)
You are responsible for all message content (default or customized) and for ensuring it is appropriate, lawful, and compliant with platform rules (including Google’s policies around “review gating” and solicitation).
31. DATA USE & STORAGE
We will use and store Client data (including End Customer data) as needed to:

Provide and improve the Services

Maintain account records and billing
-
Comply with legal obligations
If you cancel your account, we may retain certain data for a commercially reasonable time or as required by law. You may request deletion of your data, and we will process such requests in accordance with our Privacy Policy and applicable law.
32. SERVICE LIMITATIONS & NO GUARANTEES
You acknowledge that:

Swayy cannot guarantee a specific number of reviews, star ratings, or improvements in rankings
-
End Customers control whether and how they review your business
-
We do not remove or edit reviews on third-party sites
-
We do not promise continuous availability or error-free operation of the Services
Any examples of results are for illustrative purposes only and do not guarantee similar performance.
33. TERMINATION & SUSPENSION (PLATFORM-SPECIFIC)
In addition to Section 15 above, we may suspend or terminate your account if:

You fail to pay fees when due
-
We reasonably suspect illegal or abusive use of the Services
-
Your messaging practices expose us to legal risk (e.g., sending unsolicited SMS at scale)
Upon termination:

Your access to the Services and automated messaging will cease
-
We may delete or anonymize data in accordance with our policies
34. CONSENT & MESSAGING INDEMNIFICATION
You expressly represent that:

Every End Customer contact you upload or sync has provided the necessary consent to receive the type of communications you send through Swayy

You will promptly honor and respect any opt-out or unsubscribe requests
You agree to defend, indemnify, and hold Swayy harmless from any claims, fines, or damages arising from:

Lack of proper consent

Sending messages to individuals who have opted out
-
Violations of Applicable Laws related to SMS, email, or marketing communications
This includes, without limitation, claims under TCPA, CAN-SPAM, GDPR, CCPA, CASL, and similar laws.
35. MISCELLANEOUS

These Terms, together with any policies or addenda referenced herein, form the entire agreement between you and Swayy regarding the Services.

If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force and effect.

Our failure to enforce any provision shall not be deemed a waiver of that provision.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
